Atlas Integration + Security provides low voltage solutions including access control systems, security cameras, network infrastructure, and process automation. We offer design, installation, maintenance, and support services for these systems.

We reserve the right to modify, suspend, or discontinue any part of our Services at any time. We will make reasonable efforts to notify clients of significant changes that may affect their use of our Services.

3. Client Responsibilities

As a client, you agree to:

Provide accurate and complete information as required for the provision of Services.
Cooperate with our representatives during installation, maintenance, and support activities.
Use our Services in compliance with all applicable laws and regulations.
Maintain the security of any login credentials provided to you and prevent unauthorized access to installed systems.
Use installed systems and equipment only for their intended purposes.
Obtain any necessary permits or approvals required for the installation of security systems on your premises.

4. Payment Terms

Payment terms are specified in your service agreement or quote. Unless otherwise agreed in writing:

A deposit may be required before commencement of work.
Final payment is due upon completion of installation or as specified in the service agreement.
Recurring services, such as monitoring or maintenance, will be billed as outlined in your service agreement.
We reserve the right to suspend Services if payments are not received by the due date.
All prices are exclusive of taxes unless otherwise stated.

5. Warranties and Limitations

Atlas Integration + Security warrants that our Services will be performed in a professional manner, consistent with industry standards. Equipment and products are subject to manufacturers' warranties, which we will pass through to you.

To the maximum extent permitted by law, we disclaim all other warranties, express or implied, including but not limited to implied warranties of merchantability or fitness for a particular purpose.

While our security systems are designed to enhance security, we do not guarantee that they will prevent all security breaches, unauthorized access, or criminal activity. Security systems are deterrents and monitoring tools, not absolute safeguards.

6. Limitation of Liability

To the fullest extent permitted by law, Atlas Integration + Security shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

Your use or inability to use our Services;
Any unauthorized access to or use of our systems;
Any interruption or cessation of transmission to or from Services;
Any bugs, viruses, or other harmful components that may be transmitted through our Services by any third party;
Any failures of security systems to prevent unauthorized access or criminal activity.

Our total liability for any claim arising out of or relating to these Terms or our Services shall not exceed the amount you paid for the specific Services giving rise to such claim during the twelve (12) month period preceding the claim.

7. Intellectual Property

All intellectual property rights in our Services, including designs, software, documentation, and methodologies, remain the property of Atlas Integration + Security or our licensors. These Terms do not transfer any ownership rights to you.

You may not copy, modify, distribute, sell, or lease any part of our Services or included software, nor may you reverse engineer or attempt to extract the source code of that software, unless laws prohibit these restrictions or you have our written permission.

8. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary information disclosed during the provision of Services. This includes system designs, security configurations, and other sensitive information. This obligation survives the termination of Services.

9. Termination

You may terminate Services according to the terms outlined in your service agreement. We may terminate or suspend Services immediately if:

You breach these Terms or your service agreement;
You fail to make timely payments;
We reasonably believe that continuing to provide Services may result in legal liability for us.

Upon termination, any fees owed for Services rendered will become immediately due. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Indemnification

You agree to indemnify and hold harmless Atlas Integration + Security, its affiliates, officers, directors, employees, and agents from and against any claims, disputes, demands, liabilities, damages, losses, and costs and expenses, including but not limited to reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of our Services, or your violation of these Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the federal or state courts located in California.

12. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, pandemic, civil unrest, terrorism, labor disputes, or governmental actions.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.

14. Amendment

We may modify these Terms at any time by posting the revised Terms on our website. Your continued use of our Services after such changes constitutes your acceptance of the revised Terms.

15. Entire Agreement

These Terms, together with any service agreements or other documents specifically referenced herein, constitute the entire agreement between you and Atlas Integration + Security regarding the subject matter hereof and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties.
